Exposure: 1) Act more on the highlight values, overall image looks decent w.r.t contrast. 2) Sets the overall image brightness, with a greater effect in the high values 3) Non-linear transformation. 4) No shift in histogram. Brightness: 1) Acts more on luminance and shifts all the other values, most of the time killing the contrast. 2) Adjusts image brightness, mainly affecting midtones. 3) Linear transformation. 4) Shifts the histogram to the right.
